flash drive won't format

I've had the same 50MB USB Flash drive for several years. Only now does it not format as FAT32. Each time I insert it, the computer tells me it's not formatted, does the format to 100%, and says the format failed.

I tried to run a disk utility, but the format dialog box popped up every time I tried to put a check mark by the F drive. If I said no to formatting, the check mark went away and I couldn't run utility.

I also have a USB hard drive that won't format as FAT32... in disk maintenance, it comes up as "healthy" but without formatting specified. I did get it to format as NTFS. (But I need two-way with a Mac.)

I have a Pentium laptop with windows xp home. Any suggestions? Could it be one of the automatic system updates my computer installs?

    Thanks.
