If you don't want to Risk Cooking your system, DON'T OC
If you have to ask How to OC, thats a second reason to Not OC, cause if you have to ask the risk for Failure is much higher.
Having a successfully/Stable OC is a lot of work

You probably need better cooling (best to keep load to max of around 50c, higher will shorten the CPU life & present Stability problems)
I'd question your PSU, Thermaltakes not popular nor recommended with DFI MOBO's
    Value ram another negative

Since you have DFI start by reading this several times, then ask your Questions http://www.diy-street.com/forum/showthread.php?t=20823

First thing I'd advise is to download Everest to see what temps you are running.
Then download something that's going to run your CPU at max (like Folding@Home) and see what your temps are.
If after running Folding for an hour and your CPU temp is below 40C then you have some room to work with.

Try this and tell us what you've got ;)

    I had my 3200+ running at 2435 mhz. :0)

why would he read that? LOL

I have a socket 754 A64 3200+. Mine is 2.2Ghz standard. On a board without PCI/AGP lock (severely limits my potential OC's)... I can get mine from a 200 FSB/HTT to 221 stable. However, this requires upping the Voltage to 1.55 on the CPU, and redlining my RAM (i think at 2.75?) to get to this point... which i only run for benchmarks.

If your BIOS is similar to mine, it's as easy as typing in a new FSB/HTT number (to change it from 200 to say... 215 or 220 for starters)... upping the Voltage to the max 'safe' voltage (which is 1.55) on the CPU, and upping your RAM voltage to the max 'safe' voltage (which i think is 2.725)

I had value ram with my 3200+ and it was a severe limitation. Even upping the voltage on the RAM and processor had no effect. I hit a wall and was stuck there (2.2 Ghz Max) until I bought better ram. But even then, the 3200+ wasn't a great overclocker. 2.4Ghz at best didn't translate into any significant increase in performance.

If you don't have the money for a new processor, don't overclock. If you do something wrong, you could risk frying your processor and you're left with nothing. Given your situation, with the value ram and all, the performance gain is not worth the risk of losing the processor.
