You should have no trouble using the "Windows Vista Home Premium Upgrade" to install over WinXP Pro -but XP Pro WILL have to be installed on the PC first. --The difference *now* is that you can no longer take a clean HDD and install "Windows Vista (any version) UPGRADE" on it -you used to be able to do that with WinXP: it would just ask you to drop in the CD with the previous version of Windows. Vista REQUIRES that a pevious Windows build be installed on the HDD. As sad as that is, you can at least take comfort in the knowledge that "Vista Upgrade" versions will still allow you to do a "clean Vista install" as long as it sees that XP is installed on the HDD.

Any questions, don't hesitate to ask.

    To clarify:

You can "clean install" over windows XP professional. You would have a fresh, clean operating systems, but you would need to reinstall all of your programs. You would have to back up your data (pictures, word files, etc. etc.) to an external device (such as burnable DVDs, CDs, or a flash drive), and put them back on your system after the installation.

You can not run an upgrade to Vista Premium from Windows XP Professional. An upgrade is the type of installation where you get to keep your old programs and files.

This is the Microsoft link on what can upgrade to what and how a clean install is different from an upgrade:
    http://www.microsoft.com/windows/products/windowsvista/buyorupgrade/upgradepaths.mspx

So basically you can install Windows Vista Premium, but you would need to save your personal files first, and reinstall your programs afterwards.

Hope I am explaining this clearly!

Best guide I've found upto now
    http://www.theeldergeekvista.com/vista_upgrade_installation.htm

But if as Gecks mentions above you are going to clean install Vista then as it will wipe out all your data and settings its best to use this tool to migrate many settings and files
    http://www.majorgeeks.com/Windows_Easy_Transfer__d5510.html

But I would also backup your important files and documents anyway, wether your upgrading or clean installing.
