I've been tempted with this same upgrade. But, the part that isn't to good is the following:

Yes, it has agp and pci-e for video.
Yes, it has 4 memory slots (2 for ddr and 2 for ddr2).

But, it isn't all that great on speed. It is merely a stepping stone, for those, who can't afford a major upgrade.

I have a simular board for my AMD 64 CPU: http://www.newegg.com/Product/Product.asp?Item=N82E16813157097

It is ok, when I bought it I was still using an AGP card. It is a good board for the price, overclocks ok. I guess it depends on what you want out of a motherboard and how much you want to pay. I wish I had saved up a little money and gotten a better one, but I can't complain about the board I have.

well im pretty sure going to c2d from p4 is a pretty good upgrade, my x800xl is still a pretty decent card but i need a pcie proof mobo, im not going uber high on gaming, stating this now wud this be a good upgrade?

If the Intell version performs as well as the AMD one does, for what you seem to want to do, I would think for the price...yes. Another advantage, as long as you are not wanting the dual SLI stuff, is the ability to run an AGP or PCI X video card. I have an AGP backup card, but only one PCE X, so if mine dies, I can still use the computer.

I did a quick Google search and found this review http://www.anandtech.com/mb/showdoc.aspx?i=2810

Again, I do not have any experience with Intell based mobo's (hopefully that will change when the the CPU prices drop a little!) I am assuming the performance would be simular to my AMD based board. I do see you can use DDR2 ram or DDR on it, nice, but you are limited to only 2GB, but that should be more than enough.

Again, my board is performing like I thought it would, AMD 3700 64 running at 4200 speeds, everything is working. But I still wish I had waited a little bit and gotten a better board. But I like to play around and tweak stuff.

pcie 4x instead of 16x is there alot of preformance lost to that?

Ouch, I just saw that does not have a PCI 16x slot. No big deal if you are going to run AGP. I do not know about performance, but 4x vs 16x, ahhh yes perfomance loss if you upgrade to a PCI GPU.

As someone posted above I think, a good 'stepping stone' mobo. If I were you, and were not having issues with the current computer, I would save more money and see how the after XMass sales go.
