I have a P2 tower PC that I am assuming has a bad MB or CPU...Can I simply install a P4 MB and CPU with proper RAM and pray that it is all going to work? Will I be able to use the exisitng HDD and OS (Win98)? I would rather "update" a tower that has a working 300w ATX PS, HDD, FDD, CDRW, RAM etc...then just scrap it and spend money on an entirely "new" PC...

Or is this a waste of time and/or money?

Short answer is no,you need a new tower.

Considering that its a P2 its probably smaller then a Mid sized ATX tower, that being said it might not have a slot for the AGP extension. No 80mm Fans, and since the CDROM/HDD size in the days of a P2/P3 were HUGE (bout 3x the size of a standard day CDrom/HDD), most likely it wont fit, plus air circulation in those cases are stagnant.
