It took a while to find this and, as one who has been using EML files for templates since 1996, I was dismayed to discover that one of the December Hotfixes to XP disabled their opening in edit mode. The fix isn't too difficult, so here it is:

This registry edit solves that problem:

    1. Click Start, click Run, type regedit, and then click OK.
    2. Locate and then click the following registry subkey:
    HKEY_LOCAL_MACHINE\SOFTWARE\Microsoft\Internet Explorer\Main\FeatureControl
    3. On the Edit menu, point to New, and then click Key.
    4. Type FEATURE_HONOR_XUNSENT_IN_FILE to name the key, and then press ENTER.
    5. Right-click FEATURE_HONOR_XUNSENT_IN_FILE, point to New, and then click DWORD Value.
    6. Type msimn.exe to name the value, and then press ENTER.
    7. Right-click msimn.exe, and then click Modify.
    8. In the Value data box, type 1, click OK, and then exit Registry Editor.

There is no need to reboot after editing; your EML templates will work as they should.
