Dodgy XP

A friend of mine has a PC with a dodgy copy of XP on it, he was doing OK until he got a message saying that there was an upgrade available to Media Player and he hit the OK button. Windows phoned home and he got the message!

Anyway I have a genuine XP CD with key code which I am prepared to let him have, but what I was wondering is can I just install it over the dodgy one without disturbing his files like "My Documents" and his installation of MS Office? I am sure that I have done this before with a broken installation but never like this.

    TIA
