Mobo & CPU upgrade

Hello Ive been thinkin on doing an upgrade for a long time now but Im a bit scared as I have never installed a new motherboard and CPU before.But anyway I was looking to get these

Ive seen a lot of good reviews about that new CPU,it seems to be a great overclocker,but I dont really want to do that.Would those 2 make a good upgrade.I was thinkin of getting a Core2Duo E4300 for £40 more than the E2140.
I have a Athlon 2600+just now and a 6600GT GPU.Im not to fussed about the board only being PCI x4.I really just want to keep all my other stuff like my DDR memory and the GPU(I could upgrade the GPU late with a PCI card).So what do you guys think.Any alternatives would be welcome,but I dont want to spend much more than £100.Thanks alot.

 

I've built 2 machines with asrock boards with no problems and I would say go with the 4300
