NVRAM Hangs :( So Sad

NVRAM Hanging:

Hi there. I've just recently bought a bunch of Upgrades for my computer. It WAS
ASrock AM2FN4G M-Board
AMD Athlon64 3200 Socket AM2
2GB DDR RAM @ 533MHz
GeForce 8400GS

these are the main specs Ofc.

I upgraded the RAM, the CPU and the G-Card with
2gb DDR2 800MHz RAM
AMD Athlon64X2 5200 (2.6GHz X2)
Geforce 8600GT (1GB)

The computer runs fine with the RAM and the G-Card. However when i boot it up with the new CPU in it. It Hangs on the NVRAM Check. I've fiddled about. Trying my old G-Card with the New CPU. Old G-CArd and Old RAM with new CPU. New G-Card... etc etc. Process of elimination.

I still cannot however get this CPU to run.

I will note that my PSU is 380W and my suspicions are linked to that.
Also when i put the Dualcore CPU in. For some reason the Clock speed is set to 2.02Ghz by Default.

I've checked Compatibility with my Mainboard. and the CPU and my Mainboard are Compatible.

So you see, i'm running out of Ideas. Any suggestions?
