As long as the new motherboard has usb2 connections, then why not?

Sorry, I totally misread your post.

As long as the case supports the ATX form factor, which is a standard design for most motherboards, it should be fine.

If you are planning on reusing the PSU make sure it is from a reputable manufacturer and that it has enough wattage to support the components you will be adding to the computer.

Have a look here for a wattage calculator, to determine how much load you will be putting on the system. I would recommend plugging in any components you think you may have in a few years and setting capacitance ageing to 30%: http://extreme.outervision.com/psucalculatorlite.jsp

Have a look here for reputable/reliable PSU manufacturers. Please bear in mind that a PSU is one of the most critical components in a computer system and getting a cheap or poor quality one now may cost you more in the long run as cheaper/less reputable PSUs are more likely to produce poor quality power, and they are more likely to fail, and if they do fail they are more likely to fail badly, and are therefore more likely to damage other components in the system: http://forum.pcmech.com/showthread.php?t=208143
