I would first format the drive/partition that you wish to place vista on, and then install the full version of premium.(This is known as a 'clean install')

Remember to back-up any important data on the drive/partition before you format as this will erase any data that exists on it.

IMHO, a clean start is the only way to fly!
The couple of hours you use to re-install all your programs etc on the drive, is well worth it compared to the pain and heartache of troubleshooting a conflicting OS install for weeks on end.
Its also a main reason lots of others cant get other programs to co-operate properly....namely IE7

    Its all about the registry!

Here is a great guide, straight from the horses mouth!

If you got the Upgrade to load but it just wouldnt activate, then before doing a clean install which I agree fully with nitecrawler in that a clean install is the best way to go, less possible complications with older software and drivers to contend with.

Goto Start > and Right Click Computer and choose Properties > then under activation try again but this time use the New Serial Key from the Full Premium Box.

if that fails then backup all your important files and do a clean install, you can use if you have Vista installed but not activated the Windows Easy Transfer tool in Accessories to move many files and settings to backup so you can re-install them in the clean install, note this doesnt do full applications so you will have to make sure you have all the CDs adn Installers for all your favoured software.
