Windows 7 Critical Error on Start-up

Good Morning and Happy New Year to MajorGeeks!

Windows 7 Ultimate
AMD Phenom II
ASUS Motherboard
My system is stuck in a Do-Loop as of this morning. I have not installed any new software. System was up and running this morning, but extremely slow and a Memory Access message kept popping up every time I tried to open a program or file. I attempted to delete the,pray files and empty recycle bin in case system memory was low, but could not open control panel or access recycle bin because of the memory message. So I re-booted system. Now I'm locked out. Either by a "Windows encountered critical error and will re-start in one minute" message or cannot access SSC at Log-on, or the dreaded Incorrect Product Key message which I just received!:cry

 

Do have your Windows 7 Repair Disk with which you can boot into Windows Repair Environment? Windows Installation Disks? Other bootable media?

I did the recovery disc, now I get Windows not genuine.
