I have pentium 4 2.66ghz processor, 2gig RAM GEforce 6600 256mb graphics. Is it worth money to upgrade to a 3+ghz processor, if so what are the main points I need to consider when purchasing a processor.

I'll second the above observations, and add one more:

It's been my experience that a CPU upgrade (with nothing else changed) that doubles the CPU clock speed is only barely noticeable in ordinary use. You don't get much benefit from a CPU upgrade unless you can identify the peripheral processes that are acting as a bottleneck in the way you use a computer and improve their performance as well.

If gaming is where you're at, and you already have a top-end video card, the "barely noticeable" threshold may be lower. However, the speed improvement you're contemplating is only 15%. It's not likely to be worth the effort or the money.
