c:\windows\system32\drivers\ndis.sys

    When i tried to down load Xp3. A message pop up and said the file c:\windows\system32\drivers\ndis.sys is open or in use by another application. What is it?

    I'm assuming when you say you are trying to "download SP3" you mean that you are trying to install it.... Scroll all the way down to the bottom of this article and read the last two posts. There are a few other posts at that link where they discuss checking the version of NDIS.SYS against the version numbers of HAL.DLL and NTOSKRNL.EXE and make sure they're the same version number. NDIS.SYS is generally related to internet/networking so reloading or updating your ethernet drivers and/or chipset drivers might help. It could be something is interfering with normal operation of your network connection like a firewall or a possible virus/malware. Run some in depth malware scans and if that comes up clean, temporarily disable the firewall and see if that helps. Many other possible fixes can be found at this link so check it out. I searched the Microsoft Knowledge Base and got 179 results for NDIS.SYS; many are for older OSes like Win2000/NT, but some apply to XP. If interested, check out this link....
