is it a name brand psu or a generic one.

Generic ones usually aren't built very well and are notorious for crapping out and causing problems hard to diagnose. You may want to replace it with a decent name brand psu. Even if it doesn't solve this problem, it will save you a lot of headaches down the track.

Right then? runs fine without the vga driver installed, that leaves only 2 possibilities vga card is bad or somewhere along the line windows or driver dont agree with one and other,we have tried a modern driver no joy may be too advanced for the card and the original driver may be too old,but this points away from a driver issue it would be strange if two drivers seperated by years produced the same shutdown problem.

Try running this registry scrub program

There is no limitation on how many times you can activate Windows XP.

If you have your xp disk handy you could try this-

Insert your xp disk,go to run and type

    sfc /scannow

    then ok

It will scan and fix any broken windows xp files

    :)
