Help Please

Hi, I'm a newbie here, I have a question that I need help with. I am running a
Dell Dimension XPS T500
35 Gig HD
256 Megs Ram
I have Zone Alarm free firewall, AVG Virus software, Spybot SD and Ad-Aware SE Personal installed.
Anyway my question is I have a file running in Task Manager called MSAMG.EXE and Task manager can.t close it down, it has sought permission to access the internet and I refused it, I have searched the web for some reference to MSAMG.EXE and found nothing. any ideas or suggestions as to what it might be or what I can do about it. Neither AVG, Spybot or Ad-Aware have picked up on this file so I have no idea what it might be. Any help would be greatly appreciated.
