Reboot hell

I have a computer that is spontaneously rebooting and/or locking up. It happens at various times. Sometimes it loaded Windows, sometimes not. Sometimes I get a BSOD, sometimes not (can't read it fast enough to write down the error msg). It started when I tried to intsall new print drivers. I can't keep the system up long enough to roll back the drivers. Now it appears the HD is corrupted because it's asking me to format the HD when trying to to an OS repair from the installation CD. Here's what I've tried so far (as much as I remember):

specs:
intel pentium 945 3.4ghz lga 775
msi motherboard - ms-7528
2-1GB ddr2 super talent RAM pc6400
320GB WD IDE HD
Windows XP Home

troubleshooting:
scanned HD for errors & fixed
boot into safe mode - failed
checked PSU voltages - fine
replaced RAM
reset BIOS/CMOS
cpu temp = 120F-125F
removed all peripheral hardware except HD, RAM, CPU - failed
replaced HD & tried to load new OS - failed - various BSOD msgs
boot Ubuntu Linux from CD - failed
replaced CPU

I'll try to provide more info about my system upon request. I'm tempted to replace my motherboard, but would like to make sure that's the problem first. Any more suggestions would be appreciated! Thanks!

 

When you try to boot into safe mode what does it get stuck on?

RMA'd the motherboard.

I figured if it won't load windows onto a new HD or boot into linux via cd, the board was bad. Thanks for your replies. If I still have problems after receiving the replacement board, I'll open a new post.
