What is this program?

I apologize if this is a repeat, etc. but I really had no idea where to begin.

In the course of creating a master Ghost image for my company, I found a program that looks extremely suspicious. I need to know how to determine if it is malware or not.

The program is svchost.exe. I realize that this is normally a legit program but the problem is it is located in C:\Program Files\ Common Files\ Services instead of its normal C:\Windows\ System32. Properties on the file show that is from Guidance Software, which apparently is a computer forensics company. McAfee says it is not a virus.

Any help would be greatly appreciated.
