Is it possible (and legit) to install a RETAIL UPGRADE version of WinXP on a new build, as long as I have a legit Win98 CD for verification?

    I need an answer ASAP.

    Thanks.

Both possible, and legal. Your Win98 CD entitled you to have the OS installed on any single computer of your choice. So it's perfectly fine to use the XP upgrade on a new computer, using your Win98 CD as verification. I'm assuming you reformatted your older computer to remove the OS right?

Yes, that is correct. The Win98 machine no longer has Win98 installed.
